ARTICLES OF INCORPORATION of MEHRDAD MASHAYEKHI FOUNDATION We, the undersigned natural persons of the age of twenty –one years old or more, acting as incorporators of a corporation under the NON-PROFIT CORPORATION ACT ( ), adopt the following Article of Incorporation: First: The name of corporation is Mehrdad Mashayekhi Foundation (hereinafter the “MMF”) Second: The period of its duration is PERPETUAL. Third: The purposes for which MMF Corporation is organized are: The MMF will work toward achieving the objectives of suitable education in Social Science among young students around the globe and also students of Iranian origin. The MMF will present a biannually award to the author of an exceptional PH.D. Dissertation dealing with the broad themes of politics and the public sphere in society in transition, written in any language. The MMF will organize a biannually or possible annually conference of different subjects, but related to Social Science by inviting younger speakers along with speakers from different generation for open discussion of the chosen subject just for educational purpose.   Fourth: The MMF shall not have any members or membership. It only consists of members of the Board of Directors.   Fifth: The manner in which the Board of Directors will be elected shall be provided in the MMF’s Bylaws which shall be adopted by a majority of the Board of Directors, and according to subsequent duly adopted amendments thereto. Sixth: Provision for no compensation to any director or officer and Provisions for the regulation of the internal affairs of the MMF, including provisions for distribution of assets or dissolution of the MMF shall be provided in the MMF’s Bylaws. Seventh: The MMF shall not engaged other than on insubstantial degree, in activities that are not furthermore of its purposes. In furtherance of such purposes, the MMF shall have full power and authority: To act as a forum for the exchange of information and materials among other organizations, institutions, universities, and members of the general public in connection with the foregoing purposes; To acquire or receive from any individual, firm, corporation, or foundation, by check, cash, bequest, gift, and to hold, administer, manage, and disburse the principal and income therefore solely for the purposes hereof; To distribute property for such purposes in accordance with terms of gifts, or bequests, or devices to the MMF not inconsistent with its purposes, as set forth in these Article Of Incorporation, or in accordance with determinations made by the Board of Directors pursuant to these Article of Incorporation; To distribute gifts, contribution, or other assistance to qualified code section 501(c)(3) organization or for their purposes; To receive and maintain a fund or funds to promote the goals and purposes set out herein; and The MMF shall be neither organized nor operated for pecuniary gain or profit; To perform all other acts necessary or incidental to the above and to do whatever is deemed necessary, useful, available, or conductive, directly or indirectly, to carry out any of the purpose of the MMF, as set forth in these Article of Incorporation, including the exercise of all other powers and authority enjoyed by nonprofit corporations generally by virtue of the provision of the Fairfax County Nonprofit Corporation Act (within and subject to the limitations of section 501(c)(3) of the code.) Eighth: The MMF shall not carry on any other activities not permitted to be carried on: by a corporation exempt from federal income taxation under section 501(c)(3) of the code; or the corresponding section of any future federal tax code; or by a corporation, contributions to which are deductible for federal income tax purposes under section 170(c)(2) of the code, or the corresponding section of any future federal tax code.   It is intended that the MMF Corporation shall have, and continue to have, the status of an organization which is exempt from federal income taxation under section 501(c)(3) of the code. All terms and provisions of these Article of Incorporation and the Bylaws of the MMF and all authority and operations of the MMF, shall be constructed, applied and carried out in accordance with such intent. Ninth: The address of the MMF is: 8877 Olive Mae Circle Fairfax, VA 22031, and the name of the MMF’s initial registered agent at such address is Ms. Ashraf Afrashteh.

Tenth: The number of members of the MMF’s Board of Directors shall be fixed by the Bylaws and may be increased or decreased from time by amendment to the by-laws provided, however, that the number of members of the Board of Directors of the MMF shall not be less than six (6). The number of members constituting the MMF’s initial Board of Directors shall be eight (8), and the names, addresses, and email address of the persons who are to serve as the initial Board members until the first annual meeting or until their successors be elected and qualifies, are:
